Terms of Services

1. General Terms (Applicable to All Services)

• Taxes: 18% GST will be applicable for all Indian customers.
• International Payments: No international taxes will be levied on iDigitalise. Clients outside India are responsible for all applicable local taxes, fees, or deductions.
• Payment Methods: Accepted payment modes include NEFT, RTGS, Cheque, Debit/Credit Cards. An additional 5% surcharge applies to PayPal and credit card transactions.
• Late Fees: Outstanding invoices will incur a late fee of 0.5% per day and an administrative charge of ₹2000/month, starting after 7 days from the due date.

2. Website, Software & App Development, and Maintenance Services

Payment Terms

• 50% prepaid or milestone-based payment.
• Remaining balance is due before the website/app goes live.

Termination

• Either party may terminate with three (3) months’ written notice.
• Failing to provide written notice will result in a three-month proportional fee.
• Clients may not hire or contract iDigitalise employees directly. Breach will result in a penalty equal to 12 months’ salary of the hired resource.

Refund Policy

• 50% refund if the order is canceled before work starts.
• No refund will be issued if the cancellation occurs after the project has started.
• All cancellations must be in writing. Verbal/telephonic cancellations are not accepted.

Project Stalling

• Delays over 1 calendar month may result in additional charges and timeline extensions.
• 10% of the total project cost per month will be charged for delays from the client’s side.

Content & Deliverables

• All content must be provided within the first 2 weeks of the project.
• Delays in content delivery may incur surcharges or project closure.

Rework & Modifications

• Approved tasks/designs requiring rework will be charged extra.
• Changes after design approval or post-Go Live will incur additional charges.

Additional Expenses

• Client agrees to reimburse for any extra costs like hosting, plugins, SSL, on-site demos, stock assets, etc.
• If hosted externally, additional man-hours due to server/network issues are chargeable.

Turnaround Time

• Maximum response time per communication is 2 weeks.

Ownership & Portfolio Rights

• iDigitalise reserves the right to display completed work in its portfolio.
• A design credit will be added at the bottom of the website. If removed, an additional 20% of the total project cost will be charged.

Open Source & 3rd Party Tools

• iDigitalise is not liable for issues from open-source platforms (WordPress, Joomla, etc.).
• Responsibility for updates, backups, or license renewals lies with the client.

3. Paid Ad Management & Digital Marketing Services

Payment Terms

• Services are monthly prepaid.
• All 3rd-party/media spends (Google, Meta, etc.) are at the client’s end and billed separately.

Termination

• Two (2) months’ written notice is required.
• If written notice is not provided, a fee equivalent to two months of service will be charged.
• Clients agree not to hire iDigitalise staff directly (penalty: 12-month salary).

No Guarantee Clause

• iDigitalise cannot control platform algorithm/policy changes and does not guarantee campaign performance or continuity due to third-party changes.

Rework & Refund

• Same as in Section 2 above.

4. SEO, ASO & Organic Digital Marketing Services

Payment & Lock-in

• Monthly prepaid billing.
• A 6-month minimum lock-in applies for 1st-page ranking on 20–35% of target keywords.

Performance Guarantee

• No guarantee on:
  • Single-word/generic keywords (e.g., “doctors,” “plastic”).
  • Rankings if response delays exceed 1 week.
  • Performance if search engine algorithm updates affect rankings.

Ranking Disclaimer

• SEO/ASO outcomes depend on multiple factors, including search engine policies, website health, and timely client inputs.

Termination & Refund

• The same conditions apply as those mentioned in Section 3.

5. Legal & Compliance

• Governing Law: All agreements shall be governed by the laws of India.
• Jurisdiction: All disputes will be subject to the exclusive jurisdiction of Navi Mumbai courts.
